Panels don't show up at all in the menu at all.
When I go to admins-manage admins, I see that I'm set as the admin (both wp and sp) and that all of the capabilities are colored green (including plugins and themes).

doh! sorry, was misunderstanding you and thought no plugins or themes were showing on them...
so, this means you did not do the upgrade, but another admin, right? only the admin who did the upgrade gets those permissions...
go to forum - admins - manage admins and add the capabilities for your user to manage themes and plugins...

can you go to your db, for this user, and pull out from the wp usermeta table, the wp_capabilities entry? yours might not be wp_

I was the one that did the upgrade.
Here are my wp_capabilities from the usermeta table:

super admin??? lol... wonder what this from... even wp multisite doesnt use that... odd the two that dont seem to work come after that one...
a bit mystified here... so you do not see plugins or themes in the far left wp admin menu... or in the accordion menu on another sp admin panenl? those capability checks are the only ones done - well, logged in too...
are you the only wp and sp admin?

Can't remember where the super admin came from. Have to check my other plugins.
I am the only wp and sp admin.
HOWEVER... all of a sudden those panels now show up. I had cleared page cache and logged in/out several times since upgrading and trouble shooting and they were still missing. The only thing I can think of is that I went into admins-manage admins and greyed out themes and plugins, saved, then went back, greened them, saved, logged out then in again. May have been that but not 100%.
In any event, they're now showing up.
Thanks for your help!
I'll let you know if I have any subsequent issues upon activating plugins and such.
